Partnership Terms

Dealer & Distribution Partnership Agreement

These terms govern the business relationship between Auditorium Lights India (a division of Auditorium Works) and authorized channel partners including dealers, distributors, and system integrators.

Eligibility

Registered business entity with valid GST registration
Minimum 1 year of experience in AV, lighting, or related industry
Ability to maintain minimum quarterly purchase volume
Professional showroom or office setup (for dealers)

Pricing & Payment

Partner pricing is confidential and not to be disclosed publicly
Payment terms: 50% advance, balance before dispatch (standard)
Credit terms available after 6 months of consistent business
All prices subject to revision with 30-day prior notice

Territory & Exclusivity

Non-exclusive partnerships unless specifically agreed in writing
Territory protection considered for high-volume partners
Partners must not sell below MAP (Minimum Advertised Price)

Support & Training

Free product training provided quarterly
Technical support via dedicated partner helpline
Marketing materials and co-branded collateral provided
Demo units available on returnable basis

Warranty & Returns

Standard manufacturer warranty passed through to end customer
Defective products replaced within warranty period
Partner responsible for first-level customer support

Termination

Either party may terminate with 30 days written notice. Outstanding payments become immediately due upon termination.
